• "Services" refers to all coaching, training, and consultation services provided by SpeakPro Osaka, including interview preparation, public speaking training, presentation skills development, and executive coaching.
• "Client" or "You" refers to any individual or organization that accesses our website or uses our services.
• "Coach" refers to the professional communication coaches employed or contracted by SpeakPro Osaka.
• "Session" refers to individual coaching appointments, whether conducted in-person or online.
• "Materials" refers to any content, resources, or documentation provided during or related to our services.

3. Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You will provide accurate and complete information
• You will comply with all applicable laws and regulations

4. Service Description

4.1 Coaching Services

SpeakPro Osaka provides professional communication coaching services, including but not limited to:

• Interview preparation and coaching
• Public speaking training
• Presentation skills development
• Executive communication coaching
• Group training programs
• Custom corporate training solutions

4.2 Service Delivery

Services may be delivered through:

• In-person sessions at our Osaka location
• Online video conferencing platforms
• Hybrid combinations of in-person and online sessions

4.3 No Guarantee of Results

While we strive to provide high-quality coaching that improves your communication skills, we cannot guarantee specific outcomes such as job offers, promotions, or speaking engagements. Results depend on numerous factors including your effort, practice, and circumstances beyond our control.

5. Booking and Payment

5.1 Booking Process

To book our services, you must:

• Complete the consultation request or booking form
• Provide accurate contact and payment information
• Agree to these Terms and our Refund Policy
• Pay the required fees as specified

5.2 Pricing

Service fees are displayed on our website and are subject to change without prior notice. Current clients will be notified of any price changes that affect their ongoing programs. All prices are in Japanese Yen (¥) unless otherwise stated.

5.3 Payment Terms

• Payment is required at the time of booking unless alternative arrangements are agreed in writing
• We accept payment via credit card, bank transfer, or other approved methods
• Full payment must be received before services are provided
• For multi-session packages, payment plans may be available upon request

5.4 Late Payment

Failure to make timely payment may result in suspension or cancellation of services. We reserve the right to charge late fees or interest on overdue amounts as permitted by law.

6. Scheduling and Cancellations

6.1 Scheduling Sessions

Sessions are scheduled by mutual agreement between you and your assigned coach. We will make reasonable efforts to accommodate your preferred times, subject to coach availability.

6.2 Client Cancellation and Rescheduling

• 24+ Hours Notice: You may cancel or reschedule sessions with at least 24 hours advance notice without penalty
• Less than 24 Hours Notice: Cancellations or rescheduling requests made less than 24 hours before the scheduled session may result in forfeiture of that session
• No-Show: Failure to attend a scheduled session without prior notice will result in forfeiture of that session with no refund

6.3 Provider Cancellation

In the rare event that we must cancel or reschedule a session, we will provide as much advance notice as possible and work with you to reschedule at no additional cost.

7. Client Responsibilities

As a client, you agree to:

• Arrive on time for scheduled sessions (in-person or online)
• Provide accurate information about your goals and needs
• Complete any assigned practice exercises or homework
• Maintain professional and respectful communication with coaches
• Ensure adequate internet connectivity for online sessions
• Test video conferencing technology before online sessions
• Provide a quiet, private environment for sessions
• Refrain from recording sessions without prior written consent

8. Confidentiality

8.1 Our Commitment

We treat all client information with strict confidentiality. Information shared during coaching sessions will not be disclosed to third parties except:

• With your explicit written consent
• When required by law
• To protect the safety of you or others
• In anonymized form for quality improvement or research purposes

8.2 Your Responsibilities

You agree to maintain confidentiality regarding any proprietary coaching methods, materials, or information provided by SpeakPro Osaka.

9. Intellectual Property

9.1 Our Content

All content on our website and provided during coaching sessions, including text, graphics, logos, videos, coaching materials, and methodologies, is the property of SpeakPro Osaka and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our materials solely for your personal development in connection with our services. You may not:

• Reproduce, distribute, or publicly display our materials without written permission
• Modify or create derivative works based on our materials
• Use our materials for commercial purposes
• Remove copyright or proprietary notices from materials
• Teach or provide coaching services using our methodologies without authorization

10. Code of Conduct

You agree to conduct yourself professionally and respectfully. We reserve the right to terminate services immediately without refund if you:

• Engage in harassment, discrimination, or abusive behavior
• Make threats or display aggression toward coaches or staff
• Violate any applicable laws or regulations
• Provide false information or misrepresent yourself
• Attempt to record sessions without consent
• Engage in any conduct that disrupts services or violates these Terms

11. Limitation of Liability

To the maximum extent permitted by law:

• SpeakPro Osaka and its coaches provide services on an "as is" basis
• We make no warranties, express or implied, regarding service outcomes
• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the specific service giving rise to the claim
• We are not liable for technical issues, internet connectivity problems, or third-party platform failures

12. Indemnification

You agree to indemnify, defend, and hold harmless SpeakPro Osaka, its coaches, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any false or misleading information you provide

13. Termination

13.1 Termination by You

You may terminate your engagement with us at any time by providing written notice. Refunds for prepaid services will be handled according to our Refund Policy.

13.2 Termination by Us

We reserve the right to terminate services immediately if you:

• Violate these Terms
• Engage in prohibited conduct
• Fail to make required payments
• Provide false information

13.3 Effect of Termination

Upon termination:

• Your access to services will cease immediately
• You must cease using all materials provided by SpeakPro Osaka
• Outstanding payments become immediately due
• Provisions regarding confidentiality, intellectual property, and liability survive termination

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to contact us to seek an informal resolution. We will work in good faith to resolve any concerns.

14.2 Governing Law

These Terms are governed by the laws of Japan. Any disputes will be subject to the exclusive jurisdiction of the courts in Osaka, Japan.

14.3 Arbitration

If informal resolution fails, disputes may be submitted to binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association, conducted in Osaka, Japan.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Material changes will be communicated via:

• Email notification to registered clients
• Prominent notice on our website

Continued use of our services after changes constitute acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SpeakPro Osaka regarding use of our services and supersede all prior agreements and understandings.

18. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
